These Terms & Conditions ("Terms") govern your use of the SkueStock platform, software, and related services (collectively, the "Service") operated by SkueStock Solutions Ltd ("Company", "we", "us", or "our"), a South African private company. By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

SkueStock is a multi-tenant, cloud-based inventory management and point-of-sale platform. The Service provides tools for stock tracking, product management, sales processing, supplier management, reporting and analytics, and optional e-commerce storefront capabilities, subject to your subscription plan.

2. Account Registration

To use the Service, you must register an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that all users within your organisation comply with these Terms
  • Promptly notifying us of any unauthorised use of your account

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service.

3. Subscription & Billing

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to the following:

  • Subscription fees are billed in advance on a monthly or annual basis as selected at the time of purchase
  • All fees are quoted in South African Rand (ZAR) unless otherwise stated
  • Subscriptions renew automatically unless cancelled before the renewal date
  • We reserve the right to modify pricing with reasonable notice; changes take effect at your next billing cycle
  • Refunds are handled in accordance with the Consumer Protection Act 68 of 2008 where applicable

4. Data Ownership & Multi-Tenancy

You retain full ownership of all data you input into the Service, including but not limited to product information, customer records, transaction data, and business analytics ("Your Data").

  • Your Data is logically isolated from other organisations on the platform
  • We will not access, use, or disclose Your Data except as necessary to provide the Service or as required by law
  • You may export Your Data at any time through the platform's export functionality
  • Upon account termination, Your Data will be retained for a reasonable period to allow retrieval, after which it will be securely deleted

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorised access to other accounts, systems, or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose other than legitimate business operations
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Intellectual Property

All intellectual property rights in the Service, including but not limited to the software, designs, trademarks, logos, and documentation, are and remain the exclusive property of SkueStock Solutions Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription term. You may not copy, modify, distribute, sell, or sublicence any part of the Service.

7. Service Availability & Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Technical support is available in accordance with your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • Our total aggregate liability arising from or relating to these Terms shall not exceed the total fees paid by you during the twelve (12) months preceding the claim

9. Confidentiality

Each party agrees to treat as confidential all non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party. The confidentiality obligations shall survive the termination of these Terms.

10. Termination

Either party may terminate the subscription:

  • At the end of the current billing period by cancelling
  • Immediately, if the other party materially breaches these Terms and fails to remedy such breach within 14 days of written notice
  • Immediately, if the other party becomes insolvent, is placed under liquidation, or enters into any arrangement with creditors

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall continue in effect.

11. Dispute Resolution

Should any dispute arise between the parties concerning any matter relating to these Terms:

  1. The parties will first endeavour to resolve the dispute through good faith negotiation within 14 days
  2. Failing resolution, the dispute will be submitted to binding arbitration in accordance with the Commercial Rules of the Arbitration Foundation of South Africa ("AFSA")
  3. The arbitration shall be conducted by a sole arbitrator and judgment on the award may be entered in any court of competent jurisdiction

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the South African courts.

13. Amendments

We reserve the right to update these Terms from time to time. Any material changes will be communicated via email or a prominent notice on the platform. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
